Midfield Suite Tickets
Terms and Conditions
These Terms and Conditions apply to the purchase of tickets (“Tickets”) located in the Midfield Suite (the “Suite”) located on the 4th Floor of Red Bull Arena, in Harrison, New Jersey. The New York Red Bulls ticket back terms and conditions ( shall apply to your (“you” or “Purchaser”) use of the Tickets. In the event of any conflict between the terms of the Ticket-back language and the these Terms and Conditions, these Terms and Conditions shall govern.
- 1. License. Subject to and conditioned upon your continued compliance with these Terms and Conditions, you are hereby granted a license to use the Tickets solely for the applicable match (the “Match”). You must purchase at least two (2) Tickets. Access to the Suite is on a non-exclusive basis.
- Food and Beverages.
(a) The Ticket fees include the cost of food and beverages (alcoholic and non-alcoholic) to be provided by Red Bull Arena, Inc. (“RBA”) or RBA’s third party food and beverage concessionaire during the Match in the Provident Suite Lounge. Such food and beverage program shall be subject to the Arena Rules (as defined in Section 5(b)).
(b) You must separately purchase (i) extraordinary food service not included in the all-inclusive program referred to above and (ii) food and beverages in areas of the Arena other than the Provident Suite Lounge.
- Use by Purchaser. Except as expressly provided in Section 9(e), there shall be no reduction in the Fee due to the cancellation, postponement or rescheduling of any event, or for Purchaser’s inability to use the Tickets for any event at the Arena. The Suite’s hours of operation will be scheduled at RBA’s discretion.
- Furnishing, Alterations, and Decor.
(a) Purchaser shall not make any additions or alterations, or supply any articles of appointment or decoration (such as, by way of example only but without limitation, pictures and plants), to the Suite or to the fixtures, furniture and equipment in the Suite. Purchaser shall not place or permit the placement of any display or other signage inside or outside of the Suite. Purchaser agrees that it shall not cause any liens or encumbrances to be placed upon the premises and shall promptly take all action necessary to remove any such liens or encumbrances it has caused in violation of this provision.
- Additional Obligations of Purchaser.
(a) Purchaser shall keep and maintain the Suite in good repair, order and condition and, in addition to the other payments provided for in these Terms and Conditions, shall reimburse RBA for any costs RBA incurs to repair any damage (other than reasonable wear and tear under the circumstances) caused by Purchaser to the Suite or the property of RBA in the Suite.
(b) Purchaser shall, and shall abide by and observe all rules and regulations established from time to time by RBA, RBA’s affiliates, and the Red Bulls, pertaining to the use and occupancy of the Suite and the Arena, including, without limitation, rules and regulations governing the consumption of alcoholic beverages and fan behavior (collectively, the “Arena Rules”).
(c) Purchaser shall maintain proper decorum while using the Suite and comply with all present and future laws, ordinances, orders, rules and regulations of all governmental authorities and will not suffer or permit any use or manner of use of the Suite in violation thereof.
(d) Purchaser shall not resell, offer, auction or raffle (or make the subject of a sweepstakes, contest or similar) the Tickets .
- Liability.
(a) RBA shall not be liable or responsible for any loss, damage or injury to any person or property of Purchaser in or upon the Suite, the Arena, the parking areas or elsewhere, resulting from any cause whatsoever, including, but not limited to, theft or vandalism, except to the extent the same is attributable to the sole gross negligence or willful misconduct of RBA or its officers, directors, managers, owners or employees. Purchaser hereby assumes all risks and dangers incidental to events at the Arena, whenever or however they occur, including, without limitation, the danger of being injured by balls and other objects, and agrees that neither RBA, nor any sports team or league, nor any other person or entity producing, performing or participating in any Arena event, nor any of their respective affiliates, agents or assignees, shall be liable for injuries from such causes.
(b) Purchaser shall indemnify and hold harmless RBA and its affiliates, and their respective officers, directors, managers, owners, employees and agents, from and against any liabilities, losses, damages, claims, demands, choses in action, costs and expenses, including reasonable attorneys’ fees (including in any action between Purchaser and RBA or any other indemnified party), costs of investigation (whether or not litigation occurs) and litigation expenses, arising out of or related to any act or omission, negligence, breach of any provision of these Terms and Conditions or violation of any applicable law, rule, regulation or order, by Purchaser or any of its guests, employees, agents or other affiliates.
- The provisions of this Section 6 shall survive completion of the Match.
- Miscellaneous.
(a) Upon the conclusion of the Match, Purchaser shall surrender occupancy of the Suite to RBA in the condition in which it was originally delivered to Purchaser, except for normal wear and tear and damage caused by casualty or force outside the scope of Purchaser’s responsibility.
(f) Purchaser does not have any right, title, estate or interest in the Arena, the Suite or any of the furniture, fixtures, or equipment of RBA located therein, other than the limited license to use and obtain access to the Arena and the Suite in accordance with these Terms and Conditions. Use of the Tickets and Suite is a right of personal privilege revocable in accordance with its terms.
(g) RBA, its affiliates and each of their successors, Purchasers and assigns may tape, photograph, record and otherwise capture Purchaser or Purchaser’s guests, names, likenesses, any biographical information which RBA may gather, personal characteristics, other personal identification and information, voice, conversations (including telephonic) and any sounds (collectively, the “Footage”) in and in connection with the development, production, distribution, advertising, publicity, promotion and exploitation of all or part of any event at the Arena, in any and all means and media, now known or hereafter devised and in all languages, throughout the universe in perpetuity. Without any further consideration from RBA at any time or of any type, Purchaser agrees that RBA and its affiliates will be the owners of all copyrights and other rights in and to such Footage, and may freely assign any and all rights incident hereto to any other party, in any manner RBA determines.
